Terms of Service

The licence terms for fAI

Effective 8 September 2026 Prodify Labs LLC

These terms are the agreement between you and Prodify Labs LLC, a Wyoming limited liability company with its registered office at 30 N Gould St, Ste R, Sheridan, WY 82801, United States ("Prodify Labs", "we", "us"). They govern your use of fAI, our desktop software, and of the optional online features that come with it.

By installing fAI, activating a licence, or paying for a subscription, you accept these terms. If you are accepting on behalf of a company, you confirm you are authorised to bind it, and "you" means that company.

1. What fAI is

fAI is software you install and run on your own computer: an agentic harness and development environment for software engineers. We license the software to you. We do not perform development work for you, and this is not a consulting or professional-services agreement.

fAI works by driving artificial-intelligence models that you supply and pay for — your own subscription or API key with a provider such as Anthropic, OpenAI or Moonshot. Requests travel from your computer to that provider under your own account. We do not resell model access and no model usage is included in the price. Your use of a provider is governed by your agreement with that provider, you are responsible for complying with it, and section 10 sets out in full what we are and are not answerable for where a provider or a model is involved.

2. Your licence

While your subscription is paid and current, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use fAI for your own internal purposes, personal or commercial, subject to these terms. We reserve all rights not expressly granted.

A licence covers one named person and one machine at a time on every tier. You may move your licence to another machine yourself, at any time, by deactivating the old one from within the app. Licences are per person and may not be shared; an organisation buys one seat per engineer.

What you may not do

3. Your work stays yours

You own your code, your projects, your prompts and everything fAI helps you produce. We claim no rights over them. fAI keeps your work on your own machine; nothing reaches us except what you deliberately share through the optional cloud features described in our Privacy Policy.

We own fAI itself: the application, its bundled methodology, skills and templates, and our trademarks. Your licence transfers none of that to you.

If you send us feedback, ideas or suggestions, you grant us a perpetual, worldwide, royalty-free licence to use them without obligation to you. This does not give us any rights over your code or projects.

4. Subscriptions, payment and renewal

Prices are published on our pricing page in US dollars and exclude sales tax and VAT, which are calculated and added at checkout.

Orders are processed by Paddle.com Market Ltd, which acts as merchant of record and is the seller of record for your purchase. Paddle collects payment, charges tax and issues the invoice; Paddle's buyer terms apply to that transaction alongside these terms.

Subscriptions renew automatically for successive periods of the same length — monthly or annual, matching the term you chose — at the price then in effect, and you will be charged on each renewal date until you cancel. You can cancel at any time using the link in your receipt, from the customer portal linked there, or by emailing us; cancellation takes effect at the end of the current period and stops every further charge. Your licence keeps working until that period ends. Refunds are governed by our Refund Policy: thirty days, unconditional.

We may change prices. A change never affects a term you have already paid for, and we will email you at least 30 days before a new price applies to one of your renewals, so that you can cancel first if you do not want it.

5. If payment stops

We do not delete your data because a payment failed. If a subscription lapses, the licence moves to read-only: you keep access to whatever is stored in the cloud features and you can export it. Anything held on your own machine is untouched and stays available to you regardless.

We will attempt to collect a failed payment and will email you before anything changes. Read-only access and export remain open for 60 days from the date the subscription lapses. After that we may close the account and delete stored cloud data, and we will email you at least 30 days before we do.

6. Trial

New customers may be offered a time-limited trial. A trial ends automatically at the end of its term; there is no free tier, and no charge unless you choose to subscribe. We may limit trials to one per person or organisation and may decline or end a trial that is being abused.

7. Updates, bugs and support

fAI is offered as it is on the day you install it. We build it for our own standards, not to order.

If fAI does not do what you need, cancel. Your remedy for any defect, missing feature, changed behaviour or unanswered request is to stop paying — and, inside the window in our Refund Policy, to get your money back with no questions asked. That is the deal, and it is deliberately a simple one: thirty days to decide, and an exit that costs you nothing.

8. The online features

The core of fAI runs on your machine and does not need us to be online. Around it sit optional online features — licence activation, document sharing, mobile access, inbound webhooks and scheduled automations — which depend on our servers and on third parties. Each one is off until you use it.

No uptime commitment

We offer no service level for any of them. We do not promise that they will be available, uninterrupted, timely or error-free, and outside a signed organisation agreement there is no uptime figure, no support window and no credit for downtime. We may suspend them for maintenance or security, and we may change or withdraw any of them under section 7. To the maximum extent permitted by law we are not liable for loss arising from an online feature being unavailable, slow, or degraded — including a share that cannot be opened when you needed it, a message that does not reach your phone, or an automation that does not run.

Sharing a document

You choose what to share and with whom. A link share can be opened by anyone holding the link, and a document shared to named people can be read by them; once something has been opened, it can have been copied, and revoking the share does not undo that. We do not review or monitor what you share, and you are responsible for it — including confidential material, personal data and anything belonging to your employer or client. We may disable a share we are notified is unlawful.

Mobile and the relay

Mobile access and voice pass messages between your device and the fAI running on your machine, through our relay. Delivery is not guaranteed and neither is its timing, and your desktop must be running and reachable for anything to happen at all.

Automations and inbound webhooks — read this one

fAI can start work without you typing anything: on a schedule, on a counter, or on an event arriving at an inbound webhook from an outside system. You author these. You choose the trigger, the filter, the scope and what fires — up to and including running commands on your machine and making outbound HTTP requests.

An inbound webhook is an endpoint that other systems can reach, and an automation wired to it acts on data you do not control. Treat its address and any credential as a secret. Scope your triggers narrowly and filter what you accept. To the maximum extent permitted by law we are not liable for what your automations do — work that fires when you did not expect it, fires repeatedly, fires on input someone else sent, runs a command you had wired to a trigger, or spends on your AI provider account while you are not watching. A trigger you configured is a decision you made.

The reverse is equally true: we do not promise that an automation will fire at all, that it will fire once, or that it will fire on time. Scheduling depends on your machine being awake and on fAI running. Do not put anything on an automation that has to happen — a deploy, a backup, a payment, a deadline — without a check that does not depend on us.

9. Export control and sanctions

fAI is subject to United States export control and economic sanctions laws. You confirm that you are not located in, ordinarily resident in, or organised under the laws of a country or territory subject to comprehensive US sanctions, that you are not a person on any US restricted-party list, and that you will not export, re-export or make fAI available to any such country, territory or person. We may suspend or terminate a licence to comply with these laws.

10. The AI providers are not us

fAI is the tool you drive the models with. The models themselves are operated by independent third parties — Anthropic, OpenAI, Moonshot and others — under your own account and your own agreement with each of them. They are not our subcontractors and not our agents. We do not control them, we do not review what they produce, and we do not endorse it.

To the maximum extent permitted by law, we are not liable for anything that originates with a provider or with a model, including:

Rights in generated output. Models can produce output that resembles existing work. We make no representation that anything fAI produces is original, or free of third-party rights, and we do not indemnify you against a claim about it. Clearing what you ship is yours to do.

What you send to a provider. Your prompts, code and files go from your machine to the provider you connected, and what happens to them there is governed by that provider's terms — including whatever those terms say about retention and about training on your data. Read them. We are not a party to that, and we cannot control it. See our Privacy Policy for what does and does not reach us.

Compatibility is not promised. If a provider changes, restricts or withdraws an API, a model or an authentication method, fAI may stop working with it, in part or entirely. That is not a defect for the purposes of section 7, and it entitles you to nothing beyond cancelling and the Refund Policy.

11. No warranty

Read this — it limits what you can claim from us fAI IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODIFY LABS LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED AND STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that fAI will meet your requirements, that it will operate uninterrupted, error-free or secure, that defects will be corrected, or that any result obtained through it will be accurate or reliable. No advice or information we give you, in any form, creates a warranty.

About AI output: models make mistakes. Generated code, analysis and documents can be wrong, insecure or unsuitable. Review anything fAI produces before you rely on it, ship it, or run it against systems and data that matter — see section 10.

About your machine: fAI runs commands, installs packages and creates, changes and deletes files on your computer when you allow it to — that is what it is for. You decide how much autonomy to give it. Keep backups and use version control. To the maximum extent permitted by law we are not responsible for loss of or damage to your files, your repositories, your machine or any system fAI is pointed at. Do not use fAI where a failure could cause death, personal injury, or severe environmental or property damage.

The safety gate, and turning it off

fAI ships with Git Guard, a gate that intercepts destructive commands before they run — history-rewriting and branch-destroying git operations, file and directory deletion on Windows and Unix, and commands that move data off the machine — and parks each one on a card that waits for your explicit Accept or Reject. The card does not time out and nothing is approved by default or by inaction. Git Guard is switched on out of the box, and if its settings are missing or unreadable fAI falls back to full protection rather than to none.

You can turn the gate off, switch off individual rules, or add rules of your own. Those are deliberate acts, made by you in the app's settings.

If you weaken or switch off the gate, or you accept a command it put in front of you, you have chosen that operation and its consequences. To the maximum extent permitted by law we are not liable for anything that follows — deleted work, a rewritten or lost history, an overwritten branch, files or credentials sent somewhere you did not intend.

Equally, the gate is not a guarantee. It matches a catalogue of known destructive patterns; it is not a promise that every destructive operation will be caught, and its presence creates no warranty of any kind. Leaving it on is strongly advisable and is still not a substitute for backups and version control.

Running unattended

fAI can run a thread on its own: an optional manager loop wakes between turns, adjudicates what the working agent raises, and lets the work continue without you at the keyboard. It is switched off by default, and it is armed one thread at a time — from the toolbar, by you. A thread you have not armed does not run itself.

An armed thread executes commands and spends tokens on your provider account while nobody is watching. That is what it is for, and it is your decision. The loop carries mechanical guards — a per-turn wall clock and a cap on parallel work — which stop it and hand control back to you instead of continuing; those thresholds are yours to configure, and you can widen them.

If you arm the loop, widen its guards, or leave it running, you have chosen that. To the maximum extent permitted by law we are not liable for what an unattended thread does in your absence — the commands it runs, the changes it makes to your files and repositories, or what it spends with your AI provider, which section 10 addresses in full.

As with the safety gate, the guards are not a guarantee. They are mechanical limits, not a promise that an unattended thread will stop before doing something you did not want, and their presence creates no warranty of any kind. Arming the loop is not a substitute for supervision, spend limits, backups and version control.

If you are a consumer

These terms are written for professional use, and most people who buy fAI are buying it for their work. If you are nonetheless a consumer — a private individual acting outside any trade, business or profession — some of the exclusions above do not apply to you, because the law in your country does not allow them to. In the European Union, the European Economic Area and the United Kingdom in particular, you keep your statutory rights that the digital content or service we supply be of satisfactory quality, fit for its purpose and as described, together with the statutory remedies attached to those rights, for as long as the law provides them. Nothing in these terms reduces a right you have that cannot be waived by agreement, and where a term here conflicts with such a right, that right prevails and the rest of these terms stay in force.

12. Limitation of liability

To the maximum extent the law allows, neither party is liable for indirect, incidental, special, punitive or consequential damages, or for lost profits, lost revenue, lost business, or lost or corrupted data, even if advised such damages were possible.

To the maximum extent the law allows, our total aggregate liability arising out of or relating to these terms is limited to the amount you paid us for fAI in the twelve months before the event giving rise to the claim. This limit does not apply to our fraud or wilful misconduct, or to any liability that cannot be limited by law.

Your sole and exclusive remedy if you are dissatisfied with fAI for any reason — a defect, a missing or removed feature, an unanswered request, output you did not expect, or the software simply not suiting you — is to stop using it and cancel your subscription, and to claim a refund if you are within the window in our Refund Policy. These limits apply even if a remedy in these terms is found to have failed of its essential purpose, and they survive termination.

13. Your indemnity

You will defend and indemnify us against third-party claims, and the reasonable legal costs of defending them, arising from your use of fAI in breach of these terms, from content you publish through the sharing features, or from your breach of an AI provider's terms. We will notify you promptly of any such claim and let you control the defence, provided any settlement releases us fully and admits nothing on our behalf.

14. Term and termination

These terms apply for as long as you hold a licence. You may stop at any time by cancelling and uninstalling. We may suspend or terminate your licence if you materially breach these terms — most obviously by sharing or tampering with licences — after notice and a reasonable chance to fix it, unless the breach is deliberate abuse or unlawful, in which case we may act immediately. Sections 3, 9, 10, 11, 12, 13, 15, 16 and 17 survive termination.

15. Disputes

Talk to us first: email support@prodifylabs.io and we will try to resolve the matter informally within 30 days.

If that fails, you and we agree that any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules, seated in Sheridan, Wyoming or conducted remotely, rather than in court — and that neither of us may bring a class, collective or representative action. Either party may still bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual property.

You can opt out of this arbitration section by emailing us within 30 days of first accepting these terms, saying that you opt out and giving the email address on your account. Opting out changes nothing else in these terms.

This section does not apply where mandatory law in your country of residence says otherwise — in particular, consumers in the EU, EEA and United Kingdom keep the right to bring proceedings in their local courts and to use any statutory dispute-resolution scheme available to them.

16. Governing law

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules and excluding the UN Convention on Contracts for the International Sale of Goods. Subject to section 15, the state and federal courts located in Sheridan County, Wyoming have exclusive jurisdiction — except where mandatory law in your country of residence gives you the right to bring proceedings locally.

17. General

18. Changes to these terms

We may update these terms. If a change is material we will email current customers at least 30 days before it takes effect and update the date above. Continuing to use fAI after that means you accept the new version; if you do not accept it, cancel before it applies.
